Introduction

These Terms and Conditions (“Terms”) are incorporated into and made part of the proposal (the “Proposal”) to which they are referenced (together, this “Agreement”). By signing the Proposal, you authorize Colorado Street Art Company (“COSTARTCO”) to perform the services described (“Services”) and agree to pay the associated fees and expenses as outlined herein.

COSTARTCO may update these Terms from time to time by posting a revised version at www.coloradostreetart.com/terms. Any updates will apply only to proposals executed after the posting date; previously signed agreements remain governed by the version in effect at the time of signature.


1. Services

COSTARTCO will provide mural design, curation, coordination, installation, and related community engagement services as described in the Proposal. Any additional or expanded services require written authorization and may incur additional costs.

The Client agrees to:

  • Provide timely feedback and approvals;

  • Ensure safe and accessible site conditions for artists and equipment; and

  • Coordinate with property management, district staff, or local authorities for access, power, and permits as applicable.

COSTARTCO is not responsible for delays or added costs caused by site inaccessibility, construction conflicts, or missed client deadlines.


2. Fees

The Client agrees to pay all fees as outlined in the Proposal according to the specified payment schedule.

If additional services are requested beyond the approved scope, the following standard hourly rates may apply:

Lead Artist / Curator $200/hour
Project Manager $150/hour
Assistant Artist / Installer $100/hour
Volunteer Coordination / Event Support $75/hour

Community workshops, educational programs, and activation events are quoted separately.


3. Expenses

The Client agrees to reimburse reasonable project-related expenses, including materials, equipment rental, permit fees, and travel beyond a 50-mile radius of Denver, Colorado.
Travel expenses may include mileage reimbursement, lodging (if required), and per diem allowances for artists and staff.


4. Invoices & Payment

COSTARTCO will invoice according to the phases described in the Proposal. Payment is due within 30 days of the invoice date.
Late payments are subject to a 1.5% monthly finance charge or the maximum amount allowed by law.

COSTARTCO reserves the right to pause work or reschedule installation for any overdue account.
Ownership of completed artwork transfers to the Client only upon full payment of all fees and expenses.


5. Artwork & Intellectual Property

All artworks are protected under U.S. Copyright Law. The Client obtains ownership of the physical artwork upon full payment but does not acquire any copyrights or reproduction rights unless otherwise agreed in writing.

Reproduction of artwork (in print, digital, or marketing form) requires written permission from COSTARTCO and/or the artist.
Artists retain the right to use images of their work for portfolios, exhibitions, and promotional purposes.


6. Installation & Warranty

COSTARTCO provides professional coordination and oversight of installations.
Installations are warranted against defects in workmanship for one (1) year following completion.
This warranty excludes normal wear, vandalism, weathering, or neglect of maintenance.


7. Client Responsibilities

The Client must ensure that:

  • The installation area is prepared and accessible on the agreed date;

  • Power, scaffolding, lifts, or wall preparation (if required) are provided in advance unless otherwise included in COSTARTCO’s scope; and

  • Any required municipal or HOA approvals are obtained before installation.

If the site is not ready upon arrival, remobilization or rescheduling fees may apply, up to $500 per day.


8. Use of Name & Images

COSTARTCO and participating artists may photograph and document the completed artwork and use such materials with appropriate credit to the Client for promotional, educational, and grant-reporting purposes.

COSTARTCO values transparency and collaboration, and any promotional use will respect the Client’s brand and community context.


9. Limitation of Liability

COSTARTCO’s total liability for any claim related to this Agreement shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

In no event shall COSTARTCO or its artists be liable for indirect, incidental, or consequential damages, including loss of revenue, reputation, or property value.


10. Termination

Either party may terminate this Agreement with 30 days’ written notice.
The Client is responsible for all Services rendered and expenses incurred up to the termination date.
Any commissioned artwork in progress remains the property of the artist until payment is received for all work completed.


11. Force Majeure

Neither party shall be liable for delays caused by events beyond reasonable control, including acts of nature, labor disputes, or public health emergencies.


12. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado.
Any dispute shall be resolved through binding arbitration in Denver, Colorado, in accordance with the rules of the American Arbitration Association.


13. Entire Agreement

This Agreement represents the full understanding between COSTARTCO and the Client and supersedes all prior proposals or communications.
Amendments must be made in writing and signed by both parties.


Definitions

COSTARTCO: Colorado Street Art Company, a Colorado 501(c)(3) nonprofit organization.
Client: The individual or organization listed in the Proposal.
Services: The activities described in the Proposal (e.g., mural design, curation, fabrication, installation, or engagement events).
Project: The specific public art project described in the Proposal.
Artists: Individuals commissioned or contracted by COSTARTCO to produce original works for the Project.
